This case study is going to be about corporate governance.
I have provided a file which is the official case study brief.
The company that I have been allocated for this case study is British Home Stores known as BHS
Question 1: For this question please identify five different clear and specific corporate governance issues that might have caused the failure of BHS. Please understand that they have to be corporate governance issues, not general issues. It is important that all five issues are different from each other.
Below are some examples of governance that might be related to the failure of BHS
1. Governance role
2. Internal stakeholders
3. Remuneration
4. Risk management
5. Internal controls
As far as structure goes please place each of the five points into there own separate paragraphs.
Question 2: This question is linked to the first question. Once you have found and explained the governance issues, you now have to find out how each of them could have been improved for the company.

Question 3: This question is straight forward and it is not linked to the first and second question. It is important that you write about the three main mechanisms of corporate finance and how they could have been used to increase governance in the company.
