| Abstract | This paper will explore developments in M&A activity and activism within the broader context of corporate law and governance. The role of shareholder/stakeholder activism will be explored, in part, as a corrective mechanism of sorts. The central roles and responsibilities of directors, as well as shifting power dynamics and competing objectives, will be discussed in detail. Various examples of shareholder activism will also be provided. This paper will investigate the effects of activism on corporate social responsibility (CSR) in conjunction with common corporate governance mechanisms, as well as any lasting effects of shareholder activism on CSR, CSP, and financial performance. Contrary to the popular belief that activists are typically near-term focused investors and/or corporate raiders, this paper will discuss the ways in which activism has allowed for positive value creation for shareholders, particularly during times of acquisition, while also touching on the challenges of hostile shareholder conduct and the incentives and strategies behind hostile corporate conduct. |
